Job Description:
Seeking an experienced contracts administrator to join our Legal team, based in Tualatin, OR. This person will share responsibilities with Contracts Administrators in Fremont, CA, Shanghai and Singapore, and play a key role in the day-to-day operations of the Legal department. Specifically, this position carries out Legal’s policies and procedures for contract assignment and review, negotiation, gaining approvals and execution.
Responsibilities
- Working closely with the Contracts Administrators and Sr. Director of Legal, this position will:
- Manage and administer the flow of contracts into and through the company’s contract lifecycle management tool
- Read and assess contracts and background information, and assign appropriate resources to contract reviews according to the company’s policies and procedures
- Ensure completion of clean-up step in contract lifecycle management tool and maintain accurate and current contract data and workflows
- Administer and support efficient contract management for both online (DocuSign contract management tool) and offline execution in a timely manner
- Identify any contract management issues and propose solutions for approval
- Undertake system checks, testing and maintenance to ensure efficiency and streamlining
- Serve as the primary point of contact between individuals in need of contracts (across the company’s procurement, sales and other functions) and personnel in the Legal department responsible for the review of those contracts
- Be a trusted business partner providing timely and helpful responses to requests from internal customers
- Serve as a primary point of contact for individuals and executives seeking information about the status of contracts both prior to execution and during the contracts lifecycle
- Maintain organized system of physical and digital records and work with Legal Operations team to ensure adequate records retention for all contracts and related documents managed by the Legal team.
- Train individuals from other business units on the use of the company’s contract lifecycle management tool and on company policies for contract review and approval
- Participate in maintaining standardized contract templates, playbooks and internal knowledge management resources
- Participate in the development and improvement of policies and processes for processing and administering contracts
- Perform administrative tasks as requested by the Legal team
- Support the company’s operations in Europe
- Working closely with the Legal team:
- Assist the Legal team with initial legal review of simple contracts
- Assist with domestic and international legal entity governance, as requested
- Maintain and organize records and database for domestic and international subsidiaries, as requested.
- Work with internal teams in various jurisdictions to coordinate execution of legal, as requested documentation (e.g. resolutions, powers of attorney and minutes)
- Prepare miscellaneous corporate forms/documents at direction of Legal team; coordinate procurement of signatures for corporate documents; coordinate notarization/legalization of documents; prepare outgoing mail and packages
Minimum Qualifications
- 2 years of relevant work experience in the contract management/procurement/legal field (or 3 years plus a law degree/diploma).
- Substantive experience with DocuSign Contract Management Solution or comparable contract lifecycle management tools a must
- Ability to read and understand contracts, and a good understanding and working knowledge of common contractual issues associated with commercial agreements
- Excellent written and verbal communication skills and attention to detail
- Bilingual with business level proficiency in English and German or French
- Systems thinking
- Ability to apply sound business judgment
- Strong organizational skills and the ability to effectively prioritize demands under time pressure and on short notice
- Ability to work collaboratively, and support European time zone business hours.
- Experience interacting with lawyers, paralegals, business people, engineers and executives, preferably in a large, multinational, high-tech company
- Proficiency with Microsoft Office and SharePoint
