  • Warrants
  • Forfeitures
  • Track PSU milestones and related award activity.
  • Process vested equity award releases, including sell-to-cover calculations and payroll coordination.
  • Prepare monthly rollforward reports reflecting equity and share balances, grants, vesting activity, and forfeitures.
  • Reconcile cap table activity and maintain accurate equity records.
  • Ensure equity-related transactions are properly documented and aligned with board approvals.
  • Coordinate data flow and process accuracy across Legal, Payroll, Accounting, and Finance.
  • Develop and improve policies, procedures, and operating processes related to stock administration and key SOX process areas.
  • Support accurate reporting, compliance, and ongoing administration of the equity compensation program.

Required Skills and Qualifications

  • Hands-on experience administering equity or stock compensation programs.
  • Experience with Certent by insightsoftware is strongly preferred.
  • Working knowledge of RSUs, RSAs, PSUs, warrants, vesting, and forfeitures.
  • Experience reconciling cap tables and preparing grant, vesting, forfeiture, and equity rollforward reports.
  • Familiarity with board approval documentation and equity transaction controls.
  • Exceptional attention to detail and accuracy.
  • Proactive communication and strong cross-functional collaboration skills.
  • Ability to work independently, prioritize effectively, and deliver results with minimal direction.
  • Capacity to quickly assume ownership in a fast-paced, evolving environment.

Nice-to-Have Skills

  • Background in accounting or familiarity with stock-based compensation accounting.
  • Experience supporting audits or financial reporting processes.
  • Exposure to ERP systems, particularly NetSuite.
  • Experience developing policies, procedures, or SOX-related process documentation.
  • Experience supporting equity administration within a public company or a company that has recently completed a public-market transaction.

Preferred Education and Experience

  • Relevant education and professional experience in stock administration, equity compensation, accounting, finance, or a related discipline are preferred.
  • Prior hands-on experience managing equity programs and administering transactions through Certent is highly valued.

Other Requirements

  • Work arrangement: 100% remote.
  • Schedule: Approximately 6–12 hours per week, with flexible scheduling and consistent availability during the business week.
  • Engagement: Indefinite consulting engagement.
  • Start: As soon as possible.
  • Must be able to independently support ongoing equity administration while maintaining responsiveness and accuracy across a distributed team.
