Responsibilities:

Strategic Compliance Management: Spearhead legal and contractual compliance initiatives to safeguard the organization, minimize corporate liability, and optimize contract value through meticulous risk management.

Risk Mitigation & Resolution: Proactively identify potential contractual risks and engineer innovative, business-centric solutions to ensure optimal resolution.

Global Collaboration: Foster seamless collaboration across domestic and international business units to drive critical legal and compliance objectives forward.

Commercial Agreement Oversight: Manage the end-to-end review and negotiation lifecycle for a complex portfolio of commercial agreements, including supplier, customer, vendor, partner, and channel contracts.

Sales Enablement: Serve as a primary legal partner to the Sales organization, streamlining workflows to accelerate the sales cycle and drive revenue.

Process Optimization: Develop and implement high-impact training and process improvements for sales personnel to facilitate faster transaction closures and reduce negotiation friction.
Corporate Governance Support: Provide essential support to the Senior VP of Legal on corporate secretarial functions and the development of best-practice governance policies and procedures.
Qualifications

Professional Experience: 2–4 years of proven success drafting, reviewing, and negotiating complex software and technology agreements, supported by a deep understanding of intellectual property law. A blend of top-tier law firm and in-house experience is highly valued.

Collaborative Mindset: A dedicated team player with a history of fostering strong, trust-based relationships across legal, business, and cross-functional teams.

SaaS & Licensing Expertise: Demonstrated mastery in preparing and negotiating software license agreements and technology transactions, with specific experience in SaaS licensing considered a significant asset.

Negotiation Prowess: Exceptional legal negotiation skills, particularly when engaging with high-value enterprise customers and supporting complex sales organizations.

Analytical & Pragmatic Counsel: Proven ability to dissect complex contractual issues, accurately assess organizational risk, and deliver clear, actionable, and commercially-minded legal advice.

Financial Literacy: A foundational understanding of revenue recognition principles within a corporate legal context.

Drive & Autonomy: Highly self-motivated with the ability to independently manage and prioritize a high-volume workload while consistently meeting critical deadlines.

Executive Presence: Polished communication skills with the ability to interact effectively with executive leadership and maintain composure in fast-paced, evolving environments.

Technical Proficiency: Advanced skill set in modern enterprise software, specifically O365, Salesforce, and NetSuite.

Regulatory Knowledge: Familiarity with HIPAA and a working knowledge of relevant U.S. and EU data privacy regulations is preferred.
